Legal document
Provider: Estudio Site Ltda., a Brazilian educational technology company, headquartered in Niteroi, State of Rio de Janeiro, hereinafter referred to as "Estúdio Site".
Tenant: a legal entity or individual who registers on the edupay platform and uses the available services, hereinafter referred to as "Tenant", "you" or "your institution".
Student: an individual registered by the Tenant who accesses the student portal to view contracts and make payments. The student is not a party to these Terms of Use — their relationship with the platform is mediated by the Tenant.
edupay is a financial and contract management platform for educational institutions, provided as Software as a Service (SaaS) by Estudio Site. The service includes:

By completing registration on the platform, the Tenant declares that they:
Continued use of the platform after updates to these Terms are published constitutes acceptance of the new conditions.
Trial
The platform offers a 7 (seven) day free trial with full access to all features and a limit of 20 active students. A credit card is required at sign-up. No charges are made during the trial period. The Tenant may cancel at any time during the period at no cost.
Subscription
At the end of the trial, the subscription is automatically activated under the selected plan. Plans are differentiated by active student volume and number of team members:

All features are available in all plans. The only differentiators between tiers are the active student volume and the number of team members.
Active student limit
An "active student" is defined as a student with at least one enrollment with an active, contract-pending or payment-pending status. When the Tenant reaches 80% of the plan limit, a warning will be displayed on the dashboard. Once the limit is exceeded, the Tenant has a 30 (thirty) day grace period to upgrade before new enrollments are blocked. Existing enrollments and charges are never affected.
Per-transaction fees
edupay does not charge per-transaction fees. Financial processing is carried out directly by Stripe, using the Tenant's own linked account. Stripe fees are charged directly to the Tenant and are outside the scope of these Terms.

Estudio Site is not liable for:
Estudio Site's total liability for any direct damage, under any circumstance, is limited to the amount paid by the Tenant in the 3 (three) months prior to the event that gave rise to the damage.
edupay uses the Stripe Connect Standard model for payment gateway integration. Under this model:
Use of Stripe is subject to the Stripe Inc. Terms of Service, which the Tenant must accept directly with Stripe to enable the billing functionality.
The platform offers tools for creating, sending and archiving digital contracts between the Tenant and their students. Estudio Site:
It is the Tenant's exclusive responsibility to ensure that the contracts used on the platform comply with applicable law, including consumer protection legislation and current educational regulations.
The edupay software, including its source code, interface, brand, logo and documentation, is the exclusive property of Estudio Site, protected by Brazilian intellectual property law.
Data entered by the Tenant on the platform (student records, contracts, financial information) is the property of the Tenant. Estudio Site will not use such data for purposes beyond operating the contracted service.
These Terms do not grant the Tenant any rights over the source code, brand or technology of edupay beyond the use provided for in the contracted subscription.
The Tenant is expressly prohibited from:
Cancellation by the Tenant
The Tenant may cancel the subscription at any time, without penalty and without prior notice, directly through the platform dashboard. Access remains active until the end of the already-paid period. There are no proportional refunds for unused periods.
After termination, data is available for export for 30 (thirty) days. After this period, data is anonymized or deleted, except for data whose retention is required by law (e.g., tax records — minimum 5 years).
Cancellation during the trial
Cancellation during the 7-day trial does not incur any charge. Data is available for 7 (seven) days after cancellation.
Termination by Estudio Site
Estudio Site reserves the right to suspend or terminate the Tenant's access, without prior notice, in the following cases:
Estudio Site may update these Terms of Use periodically. Relevant changes will be communicated to the Tenant with at least 15 (fifteen) days advance notice, by email or notification within the platform.
Continued use of the platform after the effective date of changes constitutes acceptance of the new Terms. If the Tenant disagrees with the changes, they may cancel the subscription as provided in clause 12 before the effective date, without any penalty.
Applicable law: these Terms are governed by Brazilian law, in particular the Civil Code, the Consumer Protection Code, the Internet Civil Framework and the General Data Protection Law (LGPD).
Venue: the jurisdiction of the District of Niteroi, State of Rio de Janeiro, is elected to resolve any disputes arising from these Terms, with waiver of any other, however privileged it may be.
Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
